Infosys approves fresh stock incentive grants to employees and leadership

Infosys has approved a new round of stock-based incentives for employees, reinforcing its approach of linking compensation with long-term performance and retention. The approvals were disclosed in the company’s fourth-quarter regulatory filing and were cleared by the board on 22 April, following recommendations from the Nomination and Remuneration Committee.
The incentives will be issued under two existing frameworks — the 2015 Stock Incentive Compensation Plan and the Expanded Stock Ownership Programme introduced in 2019. Under the 2015 plan, the company has approved over 27,000 restricted stock units (RSUs), which will vest gradually over two to three years, aimed at encouraging employee retention and sustained performance.
Additionally, performance-linked stock incentives have been approved under the 2019 programme. These incentives are tied to equity shares valued at approximately ₹1.90 crore at the time of approval, with the final allocation dependent on the company’s share price before the grant date. These awards will vest over two years, subject to performance conditions.
The company has set 2 May 2026 as the effective date for granting the RSUs, with a structure designed to align employee benefits with both operational performance and market movements.
In a separate decision, stock-based incentives were also approved for CEO and Managing Director Salil Parekh. His package includes a combination of performance-based, ESG-linked, and shareholder return-linked components, along with an additional grant under the 2019 stock programme.
The move reflects Infosys’ continued strategy of using equity-based compensation to align employee and leadership interests with long-term business outcomes and shareholder value creation.
